Should Your UAE Business Elect Small Business Relief?

A profitable small company may benefit from electing, but a loss-making one should first weigh what its losses could be worth later.

The short answer

UAE Small Business Relief can remove corporate tax for an eligible period, but electing is not always the best choice. A profitable resident business within the AED 3 million revenue ceiling may benefit; a loss-making business should compare the future value of its losses first. The relief now covers qualifying tax periods ending on or before 31 December 2029.

Key takeaways

  • Losses arising in a period for which you elect cannot be carried forward, so a loss-making business should compare the future value of its losses before electing.
  • Ministerial Decision No. 131 of 2026 extends the relief to qualifying tax periods ending on or before 31 December 2029, without increasing the AED 3 million threshold.
  • Revenue must be AED 3 million or less in the current tax period and all previous relevant tax periods, and the election is made in the return for each tax period.

Compare the election with an ordinary return

If you run a small UAE company, the useful question is whether to make this election for your next return. A low revenue figure alone does not answer it. Your revenue history, tax status and any losses can change the decision.

A loss-making year deserves particular attention. Losses arising in a period for which you elect cannot be carried forward. Previously accumulated eligible losses from non-election periods can remain available for later non-election periods, subject to the applicable conditions.

That does not mean every loss-making business should reject relief. Future taxable profits, the conditions for using losses and the work involved in ordinary compliance all matter. Compare those factors rather than choosing the shortest return by default. The FTA’s Small Business Relief guide (opens in a new tab) illustrates this trade-off.

The relief has been extended beyond 2026

The old 31 December 2026 cutoff has changed. Ministerial Decision No. 131 of 2026 replaces it with 31 December 2029. The Ministry of Finance announced the extension on 7 August 2026 (opens in a new tab); the decision itself was issued on 29 July 2026. It extends the qualifying window without increasing the AED 3 million threshold. Read the amendment (opens in a new tab).

This matters when planning beyond your current financial year. You should not budget on the assumption that relief automatically disappears in 2027. Equally, the extension is not a guarantee that your business qualifies for every remaining year. Test each period separately.

Older official guidance can still show the original end date. For timing, read it alongside the later amendment rather than treating the older PDF as the final word.

Who can elect for Small Business Relief?

The relief is available to eligible Resident Persons for UAE corporate tax purposes, including companies and natural persons. Revenue must be AED 3 million or less in the current tax period and all previous relevant tax periods. Exactly AED 3 million is within the ceiling.

Two exclusions are especially important: Qualifying Free Zone Persons and members of multinational groups with consolidated group revenue above AED 3.15 billion. These are identified in the FTA’s relief overview (opens in a new tab). A small UAE subsidiary cannot assess eligibility using only its own size while ignoring its group.

For a free-zone business, establish its actual corporate tax status before choosing a route. The exclusion names a Qualifying Free Zone Person. Simply seeing “free zone” on a licence does not complete that analysis.

Look backwards before you look at this year’s revenue

The AED 3 million test is based on revenue, not the profit left after expenses. Ministerial Decision No. 73 requires revenue to be determined using accounting standards accepted in the UAE. It also blocks the election if the threshold has been exceeded in a relevant previous period.

Consider a hypothetical resident company with AED 3.4 million of revenue in 2025 and AED 2.2 million in 2026. The lower second-year figure does not restore eligibility.

Prepare a simple period-by-period revenue schedule and reconcile it to your records. Keep unusual transactions visible rather than assuming only recurring customer sales matter. If your figures are close to the ceiling, resolve the accounting treatment before relying on relief.

Artificially splitting a business to stay below the threshold is also addressed by the rules. The FTA can examine commercial purpose and financial, economic and organisational links. Multiple entities do not turn one commercial activity into several independent relief allowances by default. See the underlying decision (opens in a new tab).

The election belongs in your tax return

Small Business Relief is optional and must be elected for each tax period. A valid election removes the need to calculate taxable income and pay corporate tax on that period’s income, and reduces the information required in the return. The FTA explains this in its Tax Returns guide (opens in a new tab).

A tax-period end date is not a filing deadline

The 2029 cutoff concerns the end of the qualifying tax period. Return deadlines follow a separate timetable. The FTA’s September 2026 reminder confirms that returns generally must be filed within nine months of the period’s end, including simplified returns for eligible small businesses.

For example, applying that general rule, a period ending 31 December 2026 would ordinarily have a filing deadline of 30 September 2027. Filing in 2027 does not turn it into a 2027 tax period or remove its eligibility. Check your own registered period rather than borrowing another company’s deadline. Read the FTA’s filing reminder (opens in a new tab).

Keep the evidence even when there is no tax to pay

Registration, a simplified return and supporting records remain necessary. The FTA’s Small Business Relief guide requires records for seven years after the relevant tax period ends. Transfer-pricing documentation relief also does not remove the arm’s-length requirement for relevant transactions.

Before filing, put the revenue history, status checks, loss comparison and filing date in one working file. That gives you a repeatable decision process for each year and makes the 2029 extension useful without confusing it with automatic tax exemption.
